This Agreement shall be governed by and construed in accordance with the laws of the Philippines, without regard to any conflicts of law rules. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by arbitration in accordance with the Philippine Dispute Resolution Center, Inc. (PDRCI) Arbitration Rules then in force. Any other cause of action the exclusive jurisdiction over which is conferred upon the regular courts shall be filed, prosecuted, or enforced exclusively with/through the appropriate court in the City of Mandaluyong, Philippines.
